Michael Shahinian is an associate in our Business Law Group in Toronto. His practice focuses primarily on public and private mergers and acquisitions, corporate finance and securities law.

Michael advises clients on a variety of corporate transactions, including domestic and cross-border share and asset purchases and sales, public and private offerings, and corporate creation and reorganization. He also provides advice to public companies on corporate governance and securities law requirements and matters relating shareholder activism and special situations.

Representative Transactions:

  • National Bank of Canada on its definitive agreement to acquire Canadian Western Bank
  • Brookfield Renewable Holdings on its proposed acquisition of Neoen
  • TD Asset Management on its acquisition of a 28% interest in PSA Italy
  • SCF Partners on its acquisition of the Pipeline and Industrial Materials business from Entegris
  • Score Media and Gaming on its sale to Penn National Gaming
  • Banneker Partners on its acquisition of Versaterm and several follow-on acquisitions
  • Endeavour Mining on its all-stock acquisition of Teranga Gold Corporation
  • BMO Capital Markets and a syndicate of agents on the Bank of Montreal’s $3.1 billion public offering of common shares
  • A consortium including TD Greystone Asset Management and IST3 Investment Foundation in the acquisition of Alberta PowerLine
  • Renewable Energy Systems Canada Inc. on its sale of the Bekevar Wind Project
  • Enbridge in its stock-for-stock merger to acquire Spectra Energy
  • Enbridge in its acquisition of all public common shares of Enbridge Income Fund

Michael has completed a secondment at a major pension fund in Canada, where he supported their M&A and asset management teams. He has also been a guest lecturer at Osgoode Hall Law School (J.D. and L.L.M. programs), speaking on corporate and securities law.

Michael obtained a Bachelor of Arts from the University of Western Ontario and a Juris Doctor from the University of Calgary. He was called to the Alberta bar in 2017 and the Ontario bar in 2019. He is a member of the Law Society of Ontario, the Law Society of Alberta and the Canadian Bar Association.
