On January 5, 2018, BCE Inc. (Bell) completed its acquisition (the “Acquisition”) of all approximately 11.4 million common shares of AlarmForce Industries Inc. (“AlarmForce”) for a total aggregate consideration of approximately C$182 million. The Acquisition is part of Bell's Connected Home strategy. Bell concurrently sold all customer accounts of AlarmForce in British Columbia, Alberta and Saskatchewan to TELUS Communications Inc. for approximately C$66.5 million, a price per subscriber equivalent to that paid by Bell in the Acquisition.

AlarmForce is a Canadian home security and monitoring company that currently serves more than 100,000 subscribers across the country with intrusion, smoke, flood and carbon monoxide detection services; automation services; and in-home and mobile medical alert systems. Bell will explore the potential for synergies between the home security experience of AlarmForce with Bell's communications and networks expertise. With this Acquisition, Bell aims to build on its position as Canada's most trusted name in residential communications.

McCarthy Tétrault LLP advised Bell with a team that included Robert Hansen, Fraser Bourne, Laure Fouin and Jessica Rousseau (Corporate and M&A), Robert Nearing, Angelo Discepola and Andrew Haikal (Tax), Étienne Guertin (Financial Services), Geoff Hall and Marc-Alexandre Hudon (Litigation).
