On January 3, 2008, Southern Graphic Systems-Canada, Co. ("SGS Canada"), a wholly owned subsidiary of SGS International, Inc., entered into a share purchase agreement under which SGS Canada acquired the outstanding shares of Ontario Limited and Cooper & Williamson, Inc. (together with its wholly owned subsidiaries Tri-Ad Graphic Communications Ltd. and Flex-Art Design Inc., "Tri-Ad"), for a cash purchase price of C$22 million  (approximately C$22,211 million based on the US dollar/Canadian dollar exchange rate on January 2, 2008), subject to adjustment as described in the share purchase agreement.

SGS is a leading global supplier of design-to-print brand development products and services to the consumer product, retail and store brand, life science, and printing and converting industries.
