On November 16, 2010, Silvermex Resources Ltd. (“Silvermex”) and Genco Resources Ltd. (“Genco”) completed the transaction involving the combination of their respective businesses, whereby Genco acquired all of the outstanding common shares of Silvermex pursuant to a statutory plan of arrangement under the Business Corporations Act (British Columbia).

Following the closing of the transaction, Genco changed its name to Silvermex Resources Inc. (“New Silvermex”).

Following the completion of the transaction, New Silvermex has a market capitalization of approximately C$214 million.

New Silvermex, headquartered in Vancouver, British Columbia, is a Canada-based silver and gold mining company with a producing silver-gold property located in the Temascaltepec Mining District of Mexico and other mineral exploration projects in Mexico.

McCarthy Tétrault LLP represented Genco in its merger with Silvermex, with a team led by Cameron Belsher.
