On February 27, 2009, SIDEX, a limited partnership constituted under the laws of the Province of Québec, and Tres-Or Resources, a corporation incorporated under the laws of the Province of British Columbia, entered into a subscription agreement under which SIDEX has agreed to subscribe for 3,333,333 units of Tres-Or Resources, for an aggregate amount of $199,999.98, representing a subscription price of $0.06 per unit, each unit comprised of one common share and one common share purchase warrant. Each warrant entitles the holder to purchase one common share of Tres-Or Resources at a price of $0.08 during the first year and $0.10 during the second year.
