On December 15, 2009, SIDEX, s.e.c., a limited partnership constituted under the laws of Québec, and Adventure Gold, a corporation incorporated under the laws of Canada, entered into a subscription agreement under which SIDEX has agreed to subscribe for 2,307,692 units of Adventure Gold, for an aggregate amount of $300,000, representing a subscription price of $0.13 per unit, each unit comprised of one common share and one common share purchase warrant. Each warrant entitles the holder to purchase one common share of Adventure Gold at a price of $0.16 for a period of 24 months following the closing of the transaction.
