Restructuring of Xebec Adsorption Inc. and affiliates under the CCAA

On September 29, 2022, Xebec Adsorption Inc. and 11 of its affiliates ("Xebec") obtained the issuance of an initial order pursuant to the Companies’ Creditors Arrangement Act (“CCAA”). Deloitte Restructuring inc. was appointed bv the Superior Court of Québec as the Monitor in the restructuring of Xebec. The CCAA proceedings were also recognized in the United States under Chapter 15 of the Bankruptcy Code.

Xebec Adsorption Inc., based in Blainville, Québec, operates in the energy transition space and was traded on the TSX until the filing date. It is a global provider of clean energy solutions for renewable and low carbon gases used in energy, mobility and industrial applications. It is active in the business segments of cleantech solutions, industrial systems and renewal gas infrastructure. At the time of filing, Xebec had operations in Canada, the United States, Germany, the Netherlands, the United Kingdom, the UAE, China and Singapore.

As legal advisors for the Monitor, McCarthy Tétrault assists Deloitte in the financial and operational restructuring of Xebec and in respect to all aspects of the proceedings, including, inter alia, in relation to the Sale and Investment Solicitation Process (SISP) ordered by the Court with the objective of soliciting opportunities for transactions pertaining to Xebec’s assets or for investment, restructuring, recapitalization and/or reorganization transactions.
