On March 10, 2006, Garda World Security Corporation, one of North America's leading providers of physical security, cash handling, investigative and pre-employment screening services, announced today that it has acquired all issued and outstanding common shares of Rentokil Initial Canada Limited (Initial Security), a subsidiary of Rentokil Initial plc, for a total consideration of approximately C$60 million.The integration of Initial Security into Garda's operations, expected within six months, will increase the Montreal company's annual revenue to more than $600-million and its work force to about 19,000 employees in Canada, the United States, Mexico and Europe.

McCarthy Tétrault LLP advised the lenders to the transaction with a team led by Michel Deschamps that also included Richard O'Doherty and Mary Jeanne Phelan.
