On February 14, 2006, Enbridge Gas Distribution Inc. (Enbridge, or the Corporation) filed a shelf prospectus qualifying the issuance of up to C$750 million aggregate principal amount of medium term notes. This offering is a continuation of the Corporation’s medium term note program, which was last renewed on December 10, 2003. As of the date of this shelf prospectus, a total of C$1.19 billion principal amount of Notes have been issued and are outstanding. The $750 million principal amount of Notes offered hereunder is in addition to such previously issued Notes.
The Notes will be offered severally by Scotia Capital Inc., BMO Nesbitt Burns Inc., CIBC World Markets Inc., HSBC Securities (Canada) Inc., National Bank Financial Inc., RBC Dominion Securities Inc., and TD Securities Inc., or other investment dealers selected from time to time by Enbridge, acting as agents of the Corporation or underwriters retained by the Corporation in Canada
