Terms and Conditions

 

Below are the terms and conditions upon which we will provide you with translation and/or review services (the “Services”). 

TIMELINE / FEES

Subject to any changes agreed verbally or in writing by both of us during the provision of the Services, the timeline and fees have been agreed by both of us before beginning the provision of the Services. You agree to pay each invoice we send to you within 30 days of the date of the invoice.

NO SOLICITOR-CLIENT RELATIONSHIP

You agree that the Services do not constitute legal advice, and that no solicitor-client relationship between you and MT❯Version or McCarthy Tétrault LLP has been or will be created as a result of our provision of the Services. You agree that our provision of Services shall not be used as a basis to assert any professional conflict of interest against McCarthy Tétrault LLP.

CONFIDENTIALITY 

We will treat all information obtained from you in the course of providing the Services to you as confidential and, except as described in herein, will not use such information except in connection with the performance of the Services.  For greater certainty, this includes not making such information available to any individuals at McCarthy Tétrault LLP who are not part of the MT❯Version division. This restriction shall not apply to any confidential information that MT❯Version is required by law or professional standards to disclose, that is in or hereafter enters the public domain, that is or hereafter becomes known to MT❯Version without breach of any confidentiality obligation or that is independently developed by MT❯Version. MT❯Version may retain, subject to terms herein, copies of all information you provide for compliance with applicable professional standards or internal policies.

LIMITATION OF LIABILITY

In any action, claim, loss or damage arising out of or otherwise related to our provision of the Services, you agree that our liability will be limited to the fees paid by you to us for the Services.  In no event shall MT❯Version be liable to you, whether a claim be in tort, contract or otherwise for any consequential, indirect, lost profit or similar damages.  For purposes of this Section, the term MT❯Version shall include McCarthy Tétrault LLP, its associated entities and their respective partners, directors and employees. 

DEEMED ACCEPTANCE

By providing us materials for translation and/or review, you will have been deemed to have accepted and agreed to these terms and conditions.
