Rebecca is an associate our Business Law Group in Calgary. She maintains a general corporate practice which includes corporate finance and securities, corporate governance and mergers and acquisitions.

Rebecca advises domestic and foreign companies, both public and private, on a variety of capital markets transactions, including financings, public offerings and private placements of securities, as well as mergers and acquisitions. Rebecca also advises clients on corporate reorganizations, corporate governance and other securities regulatory matters. Representative experience includes:

  • Canadian Utilities Limited in connection with an exchange proposal to its holders of class B common shares by way of plan of arrangement under the Canada Business Corporations Act.
  • The underwriter and dealer syndicates in connection with a public offering by Gibson Energy Inc. of subscription receipts for aggregate gross proceeds of approximately C$400-million and a public offering of CC$900-million aggregate principal amount of medium term notes and $200-million aggregate principal amount of hybrid notes to finance its acquisition of South Texas Gateway Terminal LLC.
  • Cenovus Energy Inc. in connection with its C$711-million repurchase of 84% of its outstanding warrants.
  • Various issuers in connection with their normal course issuer bid renewals.
  • FYihealth Group in connection with its merger with Functionalab Group and subsequent reorganization.
  • Magnet Forensics Inc. in connection with its C$74-million secondary offering of subordinate voting shares.
  • RIV Capital Inc. in connection with its US$247-million acquisition of Etain, LLC.
  • The underwriting syndicate in connection with various public offerings by Choice Properties REIT.
  • Algonquin Power & Utilities Corp. in connection with its public offering of common shares aggregating C$1.5-billion and subsequent renewal of its base shelf prospectus.
  • Aviat Networks, Inc. in connection with its US$12-million acquisition of Redline Communications Group Inc.
  • Various public companies on securities compliance and strategic matters, including corporate governance and continuous disclosure obligations.

Rebecca is an active member of the Law Society of Ontario, the Law Society of Alberta, the Canadian Bar Association and the Calgary Bar Association. Rebecca completed her JD at the Schulich School of Law at Dalhousie University. Prior to law school, Rebecca graduated with a Bachelor of Arts in Political Studies (with honours) from Queen’s University.
