Lynn Parsons is a partner in McCarthy Tétrault’s Financial Services Group in Toronto. Her practice focuses on project finance and secured lending and she regularly advises bank and other financial institutions as well as borrowers in the development and financing of projects in the energy, infrastructure and mining sectors.

RECENT TRANSACTIONS

  • acting as lead counsel for the borrower in connection with a $832 million refinancing of a 870 MW gas fired combined cycle power generation facility in Ontario which project won Project Finance’s 2013 North American Single Asset Deal of the Year Award
  • acting as lead counsel for a Canadian mining company in connection with a US $50,000,000 revolving credit facility for, inter alia, development and operation of certain of its mining projects
  • acting as counsel for the lenders in connection with the $102.7 million loan for the construction and operation of a 36 MW bioenergy power generation facility in British Columbia
  • acting as counsel for the lenders in connection with a $265 million loan to finance the construction and operation of five 10 MW solar power projects located in Ontario
  • acting as counsel for the lenders in connection with a $180 million loan to finance the construction and operation of a 62 MW run of the river hydroelectric generating facility located in British Columbia
  • acting as counsel for the lenders in connection with a $354 million loan for the construction of a wind power project in the Province of Ontario
  • acting as counsel for the lenders in connection with a $117 million loan for the construction of a wind power project in the Province of Ontario
  • acting as counsel for the lenders in connection with a $1.1 billion multi-sourced project finance for a Canadian renewable power generation portfolio achieved through three separate financings, with two of the financings provided by Canadian life insurance companies and one by a foreign ECA and a syndicate of Japanese commercial banks
  • acting as counsel for the lenders in connection with a $270 million loan for the construction of six solar power projects in the Province of Ontario
  • acting as counsel for the lenders in connection with a $580 million loan to finance the construction and operation of a 260 megawatt gas fired combined cycle power generation facility in the Province of Saskatchewan
  • acting as lead counsel for the borrower in connection with a senior and subordinated credit facility for construction purposes of a series of fitness clubs in the Province of Ontario
  • acting as counsel for the bond purchasers in connection with the offering of $264,000,000 in aggregate principal amount of senior secured bonds and $115,000,000 in aggregate principal amount of subordinated secured bonds by an issuer operating and maintaining hydro-electric generating facilities in the Province of British Columbia
  • acting as counsel for the lenders in connection with a $180 million loan to finance the construction and operation of a 62 megawatt run of the river hydroelectric generating facility located in the Province of British Columbia
  • acted as counsel for an issuer in connection with an initial public offering of its common units which raised approximately $442.7 million and related spinoff of 7 wind energy and 3 solar energy projects located in the U.S. and Canada, with a combined capacity of 990 megawatt
  • acting as counsel for the lenders on a $100 million loan for the construction and development of a denatured ethanol production plant in the Province of Ontario
  • acting as co-lead counsel for the lenders on the $326 million financing of a 100 MW wind generation located in the Province of Ontario
  • acting as lead counsel for the borrower on the $239 million project financing of a 100 MW and 22.2 MW wind generation facility located in the Province of Ontario
  • acting as counsel for the lenders in connection with a $95 million loan for the construction and operation of a 294 MW natural gas power generation facility located in the Province of Ontario

Lynn received her LLB (cum laude) from the University of Ottawa in 2001. She is a member of the Law Society of Ontario as well as the Canadian and Ontario Bar Associations. She completed the Rotman School of Management (University of Toronto) Business Leadership for Women Lawyers Program in April 2011 and the Osgoode Certificate in Mining Law in 2013.
