OVERVIEW
On October 22, 2009, Temple Energy Inc. (“Temple”) acquired Livingston Energy Ltd. (“Livingston"). Pursuant to the terms of the acquisition, which is being carried out by way of amalgamation, Livingston shareholders will receive .495 of a Temple share for every Livingston share held. An aggregate of 26.5 million Temple shares are expected to be issued.
