The Business Corporations Act: Overview of a major reform of Québec company law

The content of the new Business Corporations Act (Québec) is similar to that of most modern business corporations’ statutes and contains a number of improvements, clarifications and innovations that will be of great interest to companies doing business in Québec. In this course, our speakers meant to sum up the reform of the Business Corporations Act of Québec, which came into force on February 14, 2011. They briefly discussed the following subjects:
- The main differences between the provisions of the current Companies Act and those of the Canada Business Corporations Act.
- The main provisions of the Business Corporations Act (Québec) relating to capital structure and financing, the rights and protections of shareholders, and corporate governance and procedures.
