Biography

Sebastian Nishimoto is an associate in our Business Law Group in Vancouver. His practice is primarily focused on domestic and cross-border mergers and acquisitions, corporate finance, reorganizations and other corporate and commercial transactions. He also regularly advises both lenders and borrowers on project finance transactions in the energy sector. Sebastian represents clients in a variety of industries, including energy, technology, life sciences and natural resources, and has a particular focus on renewable energy projects.

Representative transactions that Sebastian has been involved with include:

  • acting for Parkland Fuel Corporation in connection with its $1.46 billion acquisition of Chevron Canada’s downstream fuel business in British Columbia;
  • acting for General Electric in connection with its $205 million acquisition of Bit Stew Systems Inc.;
  • acting for ActiveState Software Inc. in connection with the sale of its Stackato business to HP;
  • acting for CGI in connection with its acquisition of the business of Solutions Only Financial Technologies Ltd. (a subsidiary of Northern Savings Credit Union);
  • acting for Innergex Renewable Energy Inc. in connection with its $9.2 million acquisition of the 16 MW Walden North Hydroelectric Project located near Lillooet, British Columbia;
  • acting for a North American renewable energy developer in connection with its acquisition of a portfolio of early-stage wind power projects located in northern and northeastern British Columbia;
  • acting for the selling shareholders in connection with the management buy-out of Sensus Communications Solutions Inc.;
  • acting for Allocadia Software Inc. in connection with its $22 million Series B venture financing lead by Susquehanna Growth Equity;
  • acting for PHEMI in connection with its $12.2 million Series A venture financing co-lead by CTI and Discovery Capital;
  • acting for Innergex Renewable Energy Inc. in connection with its $491.6 million project financing of its Boulder Creek and Upper Lillooet River Hydroelectric Projects located near Pemberton, British Columbia;
  • acting for Innergex Renewable Energy Inc. in connection with its $197.2 million project financing of its 40.6 MW Big Silver Creek Hydroelectric Project located near Harrison Hot Springs, British Columbia;
  • acting for the developer in connection with its project financing of two 15 MW wind power projects located in central British Columbia;
  • acting for a developer in connection with its project financing of a 12 MW hydroelectric project located in British Columbia;
  • acting for the lenders in connection with the project financing of a 25 MW hydroelectric project located in British Columbia; and
  • acting for Scotia Capital Inc. and CIBC World Markets Inc. (as co-lead agents) in connection Northland Power Solar Finance One L.P.’s $232 million offering of senior secured bonds.

Sebastian joined the firm in 2013 as an articling student. He received a BHSc with First Class Honours in Biomedical Science from the University of Calgary in 2010 and a JD from the University of Toronto in 2013. He was called to the British Columbia bar in 2014 and is a member of the Canadian Bar Association, the Vancouver Bar Association, FACL BC and the Law Society of British Columbia. He also serves as the Vice-President – Sponsorship and Membership of Ascend Canada (Vancouver Chapter).
