Nicole Rumble is an associate in our Business Law Group in Toronto. She maintains a general corporate law practice with a focus on public and private mergers and acquisitions (M&A) and capital markets transactions. Ms. Rumble also advises public company clients on corporate governance and continuous disclosure matters, and is a member of our Health Law Group.

In 2015, she completed a two-month secondment to Slate Asset Management, during which time she advised on matters related to M&A, corporate governance, and continuous disclosure.


Nicole has recently advised:

  • Represented Jamieson Wellness Inc. and CCMP Capital Advisors, LP on Jamieson Wellness Inc.'s C$273 million bought deal secondary offering (resulting in the exit of CCMP Capital Advisors, LP for the issuer).
  • The Walt Disney Company in connection with its issuance, by way of private placement, of C$1,250,000,000 2.758% Notes due 2024 (its first Maple bond offering).
  • The Empire Life Insurance Company in connection with its issuance, by way of private placement, of $200 million principal amount of 3.664% subordinated debentures Series 2017-1 due March 15, 2028.
  • Slate Retail REIT on its C$74.8 million class U trust unit offering and C$5.0 million private placement of class U trust units.
  • Slate Office REIT on its C$58 million bought deal equity offering (with a secondary offering).
  • The Toronto-Dominion Bank in connection with the renewal of its short form base shelf prospectus relating to the offering of C$2 billion senior medium term notes.
  • BuildGroup Management, LLC, a U.S. venture capital firm, in connection with its subscription for C$5 million Class A Preferred Shares of Maintenance Assistant Inc.
  • The Empire Life Insurance Company in respect of its initial public offering of C$149.5 million of rate reset preferred shares.


Nicole has recently advised:

  • General Electric Company in connection with the combination of its oil and gas business with Baker Hughes.
  • McCarthy Tétrault LLP on its acquisition of the assets of e-discovery law firm Wortzmans.
  • Bluesky Hotels and Resorts Inc. on its acquisition of InnVest Real Estate Investment Trust, for a purchase price of C$2.1 billion.
  • Slate Retail REIT on its acquisition of the assets of Slate U.S. Opportunity (No. 3) Realty Trust.
  • CIBC on the sale of its Aeroplan credit card portfolio to TD Bank.


Nicole has recently advised:

  • Slate Asset Management in connection with its organization, fund formation and fund-raising activities for Slate Canadian Real Estate Opportunity Fund I L.P. totalling C$300 million.

Ms. Rumble received her JD from Queen’s University in 2013. Prior to studying law, she obtained a MA in Political Science from the University of Western Ontario in 2010 and both a B.Arts Sc. (Hons.) and a BA (Hons.) in Political Science from McMaster University in 2009. While at Queen's, Ms. Rumble worked as a student caseworker at Queen's Legal Aid, where she was awarded the 2011 McDougall-Watson Memorial Award for her excellent casework and file management and commitment to the objectives of the clinic. Additionally, she participated in an international exchange to the National University of Singapore in the fall of 2012.

Ms. Rumble was called to the Ontario bar in 2014. She is a member of the Law Society of Upper Canada, Canadian Bar Association and Ontario Bar Association.
