Mary Jeanne Phelan is a partner in our Business Law Group in Montréal.

Ms. Phelan’s practice focuses on banking and financing, securitization, derivative and credit transactions, both national and international in scope. Her practice involves advising clients on commercial lending, securitization, derivative instruments, taking security, corporate debt restructuring and implementing credit facilities.

In the current edition of the Canadian Legal Lexpert Directory, Ms. Phelan is "repeatedly recommended" as a leading practitioner in the areas of asset equipment finance/leasing and banking & financial institutions and is "consistently recommended" in the area of asset securization.

Ms. Phelan’s recent retainers include:

  • acting for numerous lending syndicates, as well as advising borrowers in connection with several cross border corporate and acquisition financings, in particular in the manufacturing, security, aerospace, mining, media and technology industries;
  • acting for lenders in connection with various project financings in the energy and health care sectors, including various long-term health care facility construction projects, the Centre hospitalier de l’Université de Montréal (CHUM) hospital project, wind farm projects and other public-private partnership projects;
  • acting for issuers and underwriters in various securitization, structured product and covered bond programs relating to mortgage receivables;
  • acting for issuers and trusts in both public offerings and private placements of vehicle and equipment financing receivables, credit card receivables and other trade receivables;
  • acting for lenders in the context of equipment and inventory financings, by way of loan, conditional sale, lease or leasing agreements;
  • acting for various financial institutions and corporations in connection with over-the-counter derivative instruments and agreements with domestic and international counterparties;
  • acting for a bank in connection with the termination of structured currency swap transactions in the context of restructurings under the Companies' Creditors Arrangement Act (CCAA); and
  • acting for debtors and lenders in connection with restructurings under the CCAA.

Ms. Phelan received her BA (first class joint honours in History and English) from McGill University in 1994, followed by an LLB from the Université de Montréal in 1997. She also completed a master’s degree in international commercial law (M. Juris) at Oxford University in 1998. She was called to the Québec and the New York State bars in 2000.

Ms. Phelan is the president of the Quebec division of the Canadian Bar Association’s banking committee, a member of the board of directors of the Montreal chapter of the Ireland-Canada Chamber of Commerce and on the board of directors the Andover Canadian Fund, Inc., a non-profit organization that provides scholarships to Canadian students attending Phillips Academy in Andover, Massachusetts.
